如何在北京注册外资公司

 外资公司注册所需材料 

        外资公司的投资方可以为公司，也可以是个人，投资方的性质不同，则在注册外资公司过程中所需材料也有所不同。客户方准备的材料罗列如下。

 【投资方为外国公司】

the investor is a foreign company

一、公证和认证文件： 

NO.1 Notarization and certification documents 

A、如投资方为外国公司：需提供外国公司营业执照的公正文件和中国驻该国大使馆认证文件2份原件。 Investors to foreign companies such as: business license required to provide foreign companies just file and Chinese Embassy in the two original certified documents 

B、如投资方为香港公司：须提供商业登记证和注册登记证复印件以及香港公司的公证文件正本2份原件。 If the investment side for Hong Kong companies: to provide business registration certificate and registration certificate and copy of the original Hong Kong's two original notarized documents. C、投资方为台湾公司：需提供台湾公司注册登记证的公证文件2份原件。 

Investors from Taiwan companies: Taiwan company must provide the registration certificate of the two original notarized documents. 

注：公证文件在当地法院或律师事务所可进行办理，认证文件在中国驻该国大使馆进行办理；台胞证公正文件由海基会进行办理，认证文件由海协会进行办理。 

Note: The notary files to the local court or law firms can be handled, the certification file in the Embassy of China in the process; MTP just file for processing by the SEF, the certification documents were handled by the Association. 

2、如投资方成立一年以上，需提供公司上一年度审计报告复印件； 

NO.2 If investments have formed more than a year, providing the company with a copy of the annual audit report; 

3、投资方银行资信证明原件2份; 

NO.3 Proof of the original investors bank credit 2； 4、新设公司法定代表人一寸彩色照片2张； 

NO.4 The legal representative of the new company 2 inch color photos 5、新设外资公司董事成员、监事人员护照护照复印件或身份证复印件； 

NO.5 New foreign member of the Board, staff supervisors passport passport or identity card 6、新设外资公司名称字号5个以上； 

NO.6 Company names new foreign investment more than 5 7、新设外资公司经营范围； 

NO.7 The new companies business scope 

8、公司住所地的租赁合同原件2份，产权证复印件（加盖公章），房屋租赁备案登记证明复印件。 NO.8 Company is located and the lease contract 2 originals, title certificate (with official seal), the certificate of registration house leasing.  

【投资方为个人】 

(the investor is personal) 1、公证和认证文件： 

NO.1 Notarization and certification documents

A、投资人护照原件 

A、Investors original passport 

B、如不能提供护照原件，则需提供投资人护照的公证和认证文件2份。 

B、If unable to provide original passport, you need to provide investors and certification documents notarized passport 2 2、投资者银行资信证明原件2份; 

NO.2 Proof of the original investor bank credit 2； 3、新设公司法定代表人一寸彩色照片2张；
